Infante Zumpano’s Corporate Department assists clients in corporate, transactional, or securities matters, whether domestic or international.  Members of our corporate department are graduates of top-tier schools and former members of top-tier law firms.  They have hands-on experience in sophisticated and complex corporate and commercial matters.

We have represented a broad spectrum of clients from start-ups and family owned entities, to international banks and Fortune 500 companies, to mid-cap and large domestic and multinational companies.  We have advised clients on domestic and international corporate transactions, including mergers and acquisitions, general corporate and commercial activities, including services such as corporate structuring and organization, contract review and preparation, corporate governance advice, and regulatory compliance.  We also assists with the reorganization and dissolution of business entities and the development of exit strategies, and have ample experience in negotiating, drafting and reviewing corporate and commercial agreements of all types, including joint ventures, shareholder, partnership, operating, private equity and other agreements defining the rights and obligations of the principals of a business.

We also provide advice about the formation and maintenance of Florida entities.

Our Corporate Department also advises clients on a variety of commercial lending and financing transactions. We have represented both lenders and borrowers in various commercial loan transactions, including term and revolving credit loans, secured and unsecured loans, working capital and acquisition loans, asset-based loans, and other credit mechanisms both in Florida and in cross border transactions.
